Preamble

These Terms of Service (these "Terms") set out the conditions for using "Property Bridge", the real estate information portal operated by Property Bridge Pte. Ltd. ("we", "us" or "our"), available at https://propertybridge.asia together with any related applications and services (the "Service"). Everyone who uses the Service (each a "User" or "you") must agree to these Terms before using the Service.

1. Acceptance of Terms

1. By accessing or using the Service, you are deemed to have agreed to these Terms, our Privacy Policy, and any guidelines and notices posted on the Service (together, the "Terms and Policies").
2. Guidelines and notices form part of these Terms. If a guideline conflicts with these Terms, the guideline prevails.
3. Use of the Service by Listing Companies (defined in Clause 2) is also governed by the separate listing agreement between us and each Listing Company. If the listing agreement conflicts with these Terms, the listing agreement prevails.

2. Definitions

In these Terms, the following words have the meanings below.

3. Amendments

1. We may amend these Terms at any time by posting the amended version on the Service.
2. For amendments that materially affect Members, we will give notice on the Service or by email to the registered address at least 14 days before they take effect.
3. Amended Terms apply to all Users from their effective date. Continued use of the Service after that date means you accept the amendments. If you do not agree, you must stop using the Service immediately.

4. Membership and Identity Verification

1. Only Members may make Enquiries, save favourites and use other features we designate.
2. To become a Member, you must apply in the manner we specify and submit the identification documents we request. Membership begins when we complete identity verification.
3. By applying, you represent and warrant that:
   1. you are at least 21 years of age;
   2. you are registering under your actual identity and are not impersonating anyone;
   3. the information you provide is true, accurate, complete and current; and
   4. you are not, and are not associated with, any criminal or anti-social organisation.
4. We may refuse any application, without giving reasons, if we believe the applicant may breach paragraph 3 or is otherwise unsuitable.

5. Minors

If you are under the age set out in Clause 4.3(a), you may not register as a Member or make Enquiries. You may use parts of the Service that do not require membership, such as browsing listings, only with the consent and under the supervision of your parent or legal guardian.

6. Account Security

1. You are responsible for keeping your login ID and password secure, and must not let any third party use, or transfer, lend or sell, your account.
2. All activity under your account is treated as your own.
3. If you become aware of any leak or unauthorised use of your password, you must notify us immediately and follow our instructions.
4. You must promptly update your registered information whenever it changes.
5. We are not liable for any loss you suffer from failing to comply with this Clause.

7. Nature of the Service

1. The Service is an advertising medium that presents information on real estate in Japan, provided by Listing Companies, to overseas investors.
2. We do not act as agent or intermediary in the sale, exchange or lease of any property, and we do not operate as a real estate brokerage in Japan or as an estate agent in Singapore.
3. Individual consultations, negotiations, explanations of important matters, contract signing and all other transactional steps take place directly between the Member and the Listing Company or Partner Agent. We are not a party to any such transaction and are not responsible for whether it is concluded, performed or how it turns out.
4. Any support we provide, including relaying Enquiries in multiple languages, is limited to explaining how to use the Service and the Listing Information. It does not include recommending properties, negotiating prices or any other brokerage activity.
5. Enquiries are sent to the Listing Company or Partner Agent through our systems. You agree that the content of your Enquiry and your contact details will be shared with the recipient, and that we will keep records of Enquiries (including call dates and durations and message receipt logs) for billing Listing Companies and for quality control.

8. Listing Information

1. Through the Service, you will see Listing Information provided by us, Listing Companies, Partner Agents and other Users.
2. The Listing Company that provided a property listing is responsible for the accuracy of its details, including price, floor area, yield, title and condition.
3. Price estimates and market data we provide, including those based on big data analysis, are statistical estimates only and do not guarantee a property's actual value or future returns.
4. You may use Listing Information only for your own personal, non-commercial purposes. You must not copy, republish, redistribute, sell or communicate it to the public, or post it on other websites, social media or mailing lists, without our prior written consent.
5. You must not reproduce or display the Service or any Listing Information on, or make it accessible through, any other website or server.

9. Prohibited Conduct

When using the Service, you must not do any of the following. If we believe you have done, or may do, any of them, we may remove your User Content without notice.

1. Breach any law, public order or morals, or the Terms and Policies
2. Register or send false information, or impersonate another person
3. Repeatedly make Enquiries with no genuine intention to buy, or otherwise disrupt a Listing Company's business
4. Generate Enquiries for improper purposes, or interfere with how Enquiries are measured
5. Collect Listing Information by scraping, crawling or any other automated means
6. Infringe the intellectual property, privacy, reputation or other rights of us, Listing Companies, other Users or any third party
7. Place excessive load on, or attempt unauthorised access to, our servers or networks
8. Use contact details of Listing Companies or other Users obtained through the Service for anything other than a genuine Enquiry
9. Provide benefits to anti-social organisations, engage in money laundering or any other criminal activity
10. Any other conduct we consider inappropriate

10. Intellectual Property

1. All copyright, trademarks and other intellectual property rights in the Service and the Listing Information (including text, images, designs, logos, software, databases and price estimate data) belong to us or their rightful owners.
2. When you upload User Content, you grant us a worldwide, royalty-free, non-exclusive licence to use it for providing, translating and promoting the Service, including to store, reproduce, translate, modify, watermark, communicate to the public, display and create derivative works from it.
3. You warrant that you hold all rights needed to grant this licence and that your User Content does not infringe any third party's rights.
4. You agree not to assert any moral rights in your User Content against us.

11. Disclaimer of Warranties

1. You use the Service at your own judgement and risk. We give no warranties of any kind about the Service, whether express or implied.
2. In particular, we do not warrant that:
   1. the Service will suit your particular purpose;
   2. the Service will be uninterrupted, timely, secure or error-free;
   3. information obtained through the Service will be accurate or reliable; or
   4. any property, service or information obtained through the Service will meet your expectations.
3. Listing Information is not investment, tax, legal, financial or other professional advice. Before deciding to buy property, transfer funds or file taxes, you must consult a lawyer, tax adviser or other appropriate professional.
4. Links to third-party sites and the views of Listing Companies, Partner Agents or other third parties on the Service do not mean we recommend or guarantee them.
5. We may review User Content and Enquiries to keep the Service running properly, but we have no obligation to monitor or review all of them.

12. Limitation of Liability

1. We are not liable for any loss or damage you suffer, including loss of profits, loss of data, loss of goodwill, or any indirect, special or incidental damage, even if we were told it might occur, arising from:
   1. your use of, or inability to use, the Service;
   2. any transaction, negotiation or dispute between a Member and a Listing Company or Partner Agent;
   3. unauthorised access to or alteration of your communications or data;
   4. statements or conduct of any third party on the Service; or
   5. any other matter relating to the Service.
2. Where applicable law does not permit us to exclude liability, our liability, except in cases of our wilful misconduct or gross negligence, is limited to direct and ordinary loss and capped at the greater of the amount you paid us in the previous 12 months or SGD 100.
3. Any claim or legal action by either party against the other relating to the Service must be brought within two years after the cause of action arises. After that period, no claim may be made.

13. Indemnity

You agree to indemnify and hold harmless us and our subsidiaries, affiliates, officers, employees, agents and partners against any claim by a third party, and any resulting loss including reasonable legal fees, arising from or relating to:

1. your User Content;
2. your use of the Service;
3. your breach of the Terms and Policies; or
4. your infringement of any third party's rights.

14. Personal Data

1. We handle your personal data in accordance with our Privacy Policy, which forms part of these Terms.
2. We manage personal data in compliance with applicable laws, including Singapore's Personal Data Protection Act (PDPA) and Japan's Act on the Protection of Personal Information.

15. Copyright Infringement Notices

1. If you believe content on the Service infringes your copyright, please complete our notice of infringement form and send it to the contact in Clause 20.
2. We only accept complete notices written in English or Japanese. We will reject incomplete notices and take no action on them.
3. Within four weeks of receiving a valid notice, we will:
   1. promptly take reasonable steps to remove, or disable access to, the allegedly infringing content; and
   2. after doing so, promptly notify the User who posted the content (the "Poster") through their registered contact details and provide a copy of the notice.
4. If the Poster submits our counter-notice form within four weeks of that notification, we will take reasonable steps to restore the content, or access to it, where technically and practically feasible. If, before restoration is complete, the copyright owner starts legal proceedings to prevent it and informs us, we will stop the restoration.
5. If the Poster does not submit a counter-notice within four weeks, we will take no further action and treat the matter as closed.

16. Changes to, Interruption and Termination of the Service

1. We may change, suspend temporarily or permanently, or discontinue all or part of the Service at any time, with or without notice.
2. We may temporarily suspend the Service for maintenance, natural disasters, power outages, network failures or other unavoidable reasons.
3. We are not liable for any loss suffered by you or any third party as a result of action taken under this Clause.

17. Suspension and Termination of Accounts

1. We may, at our discretion and without notice, suspend or terminate a Member's account if:
   1. the Member breaches the Terms and Policies;
   2. a law enforcement or other public authority requests it;
   3. the Member asks to close their account;
   4. the Member infringes a third party's intellectual property rights;
   5. we discontinue or materially change all or part of the Service;
   6. unexpected technical or security problems arise; or
   7. the account has not been used for two years or more since the last login.
2. Once an account is terminated, the Member can no longer use member features, and we may delete the account's password, registered information and stored data. We will retain information required by law or for billing records for the period we specify.
3. Termination does not affect any other rights or remedies we have under these Terms or at law, any rights or obligations that arose before termination, or any provision intended by its nature to survive termination.

18. General

1. Our failure or delay in exercising any right under these Terms does not waive that right.
2. If any provision of these Terms is found invalid or unenforceable, the remaining provisions stay in full force, and the invalid provision will be applied in the valid form closest to the parties' intent.
3. Your position under these Terms and your account cannot be assigned, transferred or inherited. Your account rights end on your death. On receiving proof of death, we will close the account and delete its data.
4. These Terms are made in English.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. The courts of the Republic of Singapore have exclusive jurisdiction at first instance over any dispute arising in connection with the Service.
